Forward Corporate Finance is delighted to have advised Euro Resin Solutions owners and management on structuring a management buyout. The transaction will see the management team of Sean Griffin, Ben Vaughan and Tom Longfoot take over the business from the founders, Wayne and Heidi Rockett. Wayne and Heidi will retain a small shareholding and stay on to support the team over the coming years.
Based in Dorset Euro Resin Solutions offers highly specialised resin flooring solutions in a number of areas including marine vessels, offshore facilities, defense, industrial & commercial flooring and car park surfacing. The company uses the latest high-tech leading edge Polyurethane, Epoxy, MMA and Cement technologies available worldwide for floors, roofs and walls.
Speaking about the transaction Wayne Rockett commented “Right from the start Sarah explained very clearly to us all how the transaction could work and laid out the steps we needed to get there. She supported us all the way through, working with our tax and legal advisors to make sure everything was done in a timely fashion.”
Sarah Moores, Director Forward Corporate Finance commented: “Structuring this transaction as an MBO offered the best result for all parties. Ben, Sean and Tom are well positioned to take over the reins, and with ongoing support from Wayne and Heidi they have the opportunity to take the business in their own direction. We wish them all the success.”
Tax advice to Wayne and Heidi was provided by James Boustead of Rickard Luckin, with Mike Matthews and Joanne Sinclair from Roythornes providing legal advice. Alastair Gunn provided legal advice to the management team.
